Terms of Sale

These terms apply to quotations and orders for tricycles, spare parts and related goods supplied by AIMOTOS (Chongqing, China). Where a signed contract or a proforma invoice states otherwise, that document prevails.
1. Quotations
- A quotation is valid for 15 days unless it states a different period, and is subject to stock and to the price of raw materials at the time of order.
- Prices are ex-works Chongqing unless the quotation names another Incoterm (FOB, CIF, CFR). Freight, insurance, destination charges and import duties are for the buyer's account unless expressly included.
- Our quotation shows unit price, MOQ, carton dimensions and weight, estimated lead time and the Incoterm, so that you can calculate landed cost before ordering.
2. Minimum order quantity
MOQ is shown per item in the quotation. Mixed spare-parts orders are accepted when their total value reaches the figure stated in the quotation; sample orders below MOQ may be accepted at a surcharge.
3. Orders and payment
- An order is confirmed when we receive your signed proforma invoice and the agreed deposit.
- Standard terms are 30% deposit on confirmation and the balance before shipment, by bank transfer (T/T). Other arrangements must be agreed in writing.
- Bank charges outside China are for the buyer's account. Goods remain our property until the invoice is paid in full.
4. Lead time and shipment
- Lead time is counted from receipt of the deposit and confirmation of the artwork, colour and parts list, not from the date of the inquiry.
- Stated lead times are estimates. Delays caused by force majeure, port congestion, customs inspection or shortage of a supplier's component do not constitute a breach, but we will inform you and give a revised date.
- Risk passes according to the agreed Incoterm. Please inspect the container at destination and note any damage on the carrier's document before signing.
5. Specifications and small variations
We may make minor changes to components, finish or packaging that do not reduce performance or safety, and we will tell you when a change is visible. Dimensions and weights in catalogues are nominal; tolerances of ±2% on weight and ±10 mm on overall dimensions are normal for this product class.
6. Warranty
- Vehicles: 12 months from the date of shipment, or 20,000 km, whichever comes first, covering manufacturing defects in the frame, engine cases and drive train.
- Spare parts: 6 months from shipment for manufacturing defects.
- Wear items (tyres, brake linings, belts, bulbs, filters, lubricants) and damage from overloading, misuse, accident, unauthorised modification or incorrect assembly are excluded.
- We may satisfy a valid claim by replacing the part, sending a credit note, or including the replacement in your next shipment. Labour and freight for warranty parts are not covered unless agreed in writing.
7. Claims
Please report shortage or damage within 15 days of container arrival, with photographs of the carton label, the packing list and the affected parts. Claims received later cannot be verified against the loading record and may be declined.
8. Returns
Returns require our written authorisation. Goods ordered correctly and returned by the buyer are subject to a restocking charge and to freight in both directions.
9. Liability
Our liability for any claim is limited to the invoiced value of the goods concerned. We are not liable for loss of profit, loss of market, downtime or consequential loss. Nothing in these terms limits liability that cannot be limited by law.
10. Intellectual property and compliance
Buyers are responsible for ensuring that goods ordered, and any brand or artwork they ask us to apply, do not infringe third-party rights, and for obtaining the import permits and homologation required in their market.
11. Governing law
These terms are governed by the laws of the People's Republic of China. The parties will first try to settle any dispute by negotiation; failing that, the dispute will be referred to the competent court at the seller's place of business.

本条款适用于 AIMOTOS（中国重庆）提供的三轮摩托车、配件及相关产品的报价与订单。若双方签署的合同或形式发票另有约定，以该文件为准。
一、报价
- 报价有效期 15 天（另有注明除外），并以下单时的库存与原材料价格为准。
- 除报价单注明 FOB、CIF、CFR 等其他贸易术语外，价格均为重庆出厂价。运费、保险、目的港费用与进口关税由买方承担（另有明确约定除外）。
- 报价单列明单价、起订量、装箱尺寸与重量、预计交期及贸易术语，便于你在下单前核算到岸成本。
二、起订量
起订量按单项在报价单中列明。配件混装订单总值达到报价单载明金额即可接受；低于起订量的样品单可加价接受。
三、订单与付款
- 我们收到你签署的形式发票及约定定金后，订单即告确认。
- 标准付款方式为确认时付 30% 定金，发货前付清余款，电汇（T/T）支付。其他方式须书面约定。
- 中国境外银行费用由买方承担。货款付清前，货物所有权归卖方。
四、交期与装运
- 交期自收到定金并确认颜色、配置与配件清单之日起算，而非询价之日。
- 交期为预估。因不可抗力、港口拥堵、海关查验或供应商零件短缺造成的延误不构成违约，但我们会及时告知并提供新的交期。
- 风险按约定贸易术语转移。请在目的港提柜时验货，并在签收前于承运人单证上注明破损。
五、规格与合理差异
我们可能对不影响性能与安全的零部件、表面处理或包装做小幅调整，若外观可见会提前告知。样本中的尺寸与重量为标称值，本类产品重量 ±2%、外形尺寸 ±10mm 属正常公差。
六、质保
- 整车：自发运日起 12 个月或 2 万公里，以先到者为准，覆盖车架、发动机箱体与传动系统的制造缺陷。
- 配件：自发运日起 6 个月，覆盖制造缺陷。
- 易损件（轮胎、刹车片、皮带、灯泡、滤芯、油品）以及超载、误用、事故、擅自改装或装配不当造成的损坏不在质保范围。
- 有效索赔可通过更换零件、开具折让单或随下批货补发的方式处理。除书面约定外，质保件的人工与运费不在承担范围。
七、索赔
请在货柜到达后 15 天内提出短少或破损，并附纸箱标签、装箱单及问题零件的照片。逾期因无法与装柜记录核对，可能无法受理。
八、退货
退货须经我们书面同意。因买方原因退回的正确订单货物，将收取再入库费用，往返运费由买方承担。
九、责任限制
任何索赔的赔偿责任以相关货物的发票金额为限。我们不承担利润损失、市场损失、停工损失及间接损失。法律强制不得限制的责任不受本条限制。
十、知识产权与合规
买方应确保所订货物及要求我们加贴的品牌、图样不侵犯第三方权利，并自行取得其市场所需的进口许可与认证。
十一、适用法律
本条款适用中华人民共和国法律。双方应先协商解决争议；协商不成的，提交卖方营业地有管辖权的人民法院。
